 The privately owned British engineering group, Langley Holdings plc, has emerged as the investor behind the takeover of the sheet fed printing equipment division, its production facilities (including all real estate in Offenbach), together with the international marketing organization in more than 40 countries.

 An investor solution has been found for the sheet fed business of manroland AG in insolvency proceedings.

 The privately owned British engineering group, Langley Holdings plc,  has emerged as the investor behind the takeover of the sheet fed  printing equipment division, its production facilities (including all  real estate in Offenbach), together with the international marketing  organization in more than 40 countries.&amp;nbsp;
  &amp;bdquo;I am very pleased with the solution which will provide a long-term perspective to the Offenbach location and the sheet fed printing business&amp;rdquo;, said Werner Schneider, Insolvency Administrator. Roughly 840 future employees in Offenbach will be taken over according to the present staff planning. In addition, Langley takes over the international marketing organization.
  &amp;bdquo; Tony Langley, sole shareholder of the Langley Group, is well known as a long term investor who acts strategically. We are convinced that a lasting perspective has been found for manroland&amp;rsquo;s sheet fed printing business&amp;ldquo;, Schneider continues.
  &amp;nbsp;&amp;bdquo;We foresee very good economic prospects for manroland sheetfed  following the recent re-structuring&amp;hellip;&amp;rdquo; said Tony Langley, &amp;ldquo;&amp;hellip;this is a  world-class business with an excellent reputation and it&amp;rsquo;s production  and research &amp;amp; development facilities are superb; everything one  expects of the very best of German engineering&amp;rdquo; &amp;nbsp;&amp;nbsp;
  Langley already operates two successful technology divisions in Germany in the field of capital equipment; the Piller Group in Osterode / Hanover and the Claudius Peters Group in Buxtehude / Hamburg. In 2011, Langley Holdings achieved revenues of approximately &amp;euro;500 million, with a profit before tax of some &amp;euro;76 million.
  &amp;nbsp;All contracts have been signed today. The execution of the transaction is subject to approval of the German cartel office which is expected within the next weeks.
About Langley Holdings
  Langley Holdings PLC was established in 1975 by the current Chairman &amp;amp; CEO, Mr Tony Langley.
  Langley comprises four divisions, based principally in Germany, France, and the United Kingdom, with a substantial presence in the United States. These divisions are further supported by a world-wide network of subsidiaries in the Americas, Europe, the Far East and Australasia.&amp;nbsp;The group&amp;rsquo;s technologies can be found at the very heart of industrial and commercial processes across the developed and the developing world, often performing mission critical tasks in the most demanding of environments.
  The group is financially independent and remains entirely under the ownership of the founding family. Unusually for a privately owned business, the Langley group is a highly transparent business, making its annual and interim reports readily available to all its trading partners and employees, believing that those partners and employees have a right to know who is ultimately behind the companies they are engaged with.
  The group employs approximately 2,300 people world wide.

 <title>Investor concept in place for manroland </title>

 Creditor’s committee agrees on stable investor solution for manroland – future existence of all production sites secured

 The creditors&amp;rsquo; committee under the guidance of provisional insolvency administrator Werner Schneider and chief representative of manroland Dr. Frank Kebekus was able to reach an amicable solution for an investor concept in the course of the company&amp;rsquo;s insolvency proceedings. During the meeting, which took place on Wednesday in Augsburg, the solution to divide the company into three independent units turned out to be the preferred solution. &amp;ldquo;Our shared goal was to place the company in the hands of investors who are interested in its long-term, independent continuation&amp;rdquo;, Werner Schneider explained after the meeting. He cited the existing operating concepts, the planned absorption of employees, as well as the rapid implementation of sales contracts as the main criteria guiding the committee&amp;rsquo;s decision.
According to the concept, the Augsburg site (webfed printing systems), will be sold to the Possehl Group. The family business from Lübeck in Northern Germany also plans to establish long-term supplier relationships with the manroland factory in Plauen in order to secure full capacity at that site. Prospects of a subsequent share in the Plauen factory are on the horizon. &amp;nbsp;
The factory in Plauen will be outsourced as a new company. There are positive signs of the timely acquisition of further third-party orders, which will ensure the sustained survival of the Plauen factory.
The Offenbach site (sheetfed printing systems) will be restructured in the course of a management buyout in cooperation with an investor. This solution has a solid economic foundation and good future prospects &amp;ndash; the financing concept does, however, require a guarantee by the federal state of Hessen. Talks have already been held on this matter.
All parties to the meeting agreed to remain silent on the purchase price for the company. In his statement, Schneider emphasized that the vote by the creditors&amp;rsquo; committee was not a formal decision but rather a recommendation. A final decision will be reached in the meeting of creditors; the committee&amp;rsquo;s vote does, however, send a strong signal. &amp;nbsp;
The current investor concept is tied to downsizing measures. The Augsburg site will employ 1473 regular staff; all apprenticeship positions will be maintained. 750 employees will work in Offenbach and nearly 300 at the Plauen site.

 Ready for future challenges in Northern Italy

 Bella Italia has become even more beautiful &amp;ndash; in particular, this applies to two northern Italian printing houses. This is where new manroland sheetfed presses took up operation. Grafiche Antiga now uses a ROLAND 700 DirectDrive, while Print Duemila installed a ROLAND 900. The new printing systems allow these customers to expand their production capacities.
Located roughly 50 kilometers northwest of Venice, Grafiche Antiga is one of northern Italy&amp;rsquo;s most prominent graphic arts industry operations. To increase its capacities, the printing house invested for the third time in a ROLAND 700, this time in an eight-color perfector press of the DirectDrive generation. It replaces a competitor&amp;rsquo;s press. To remain internationally competitive, Grafiche Antiga offers its customers a wide range of products that are entirely produced in-house. For its more than 1000 customers, Grafiche Antiga processes 6,500 tons of paper in approximately 10,000 print jobs annually, producing advertising and publication print products as well as packaging.
The ROLAND 700 DirectDrive press will considerably increase the output, especially for short runs and print jobs requiring a flexible printing press. Two years ago, the rapidly growing company with its 180 employees already invested in two ten-color ROLAND 700 HiPrint perfector presses. &amp;ldquo;We are very satisfied with both presses, which is why we decided to purchase another printing press of this series,&amp;rdquo; explained Flavio Zuin, managing director of Grafiche Antiga.
Its innovative DirectDrive system allows simultaneous plate changes and wash cycles. In addition, unused inking units can be disabled, which results in less wear, short downtimes, and inexpensive maintenance. Perfecting allows high-quality two-sided four-color production, which enables the cost-effective printing of short and very short runs.
Paper, cardboard, propylene: the ROLAND 900 processes it allPrint Duemila near Milan is pursuing its growth strategy with a new six-color ROLAND 900 with perfecting in format 6. The Italian printing company offers a vast variety of products: in addition to books, brochures and catalogs, Print Duemila also produces displays, playing cards, puzzles, folders, and advertising material. This not only involves printing on materials with various thicknesses, but in addition to paper, also on cardboard, corrugated and propylene foil. The company already employs a ROLAND 700 to its great satisfaction.
&amp;ldquo;We intend to use the new ROLAND 900 primarily for printing on propylene foil&amp;rdquo;, said Giancarlo Cagno and Diego Cagno, the managing directors of Print Duemila. Thanks to its QuickChange functions, the large format press is quickly ready for printing. An ink-repellent coating of the ink fountain surfaces reduces the time required for ink change by up to 50 percent. The QuickChange Coating system features two firmly installed hose and pump systems as well as two doctor blades, which ensure exceptionally quick coating change-over, for example from UV to dispersion coating. Non-stop solutions developed especially for packaging printing allow fast continuous production runs.

 manroland AG is one of the leading printing systems manufacturer and the world&amp;rsquo;s market leader in web offset.
Webfed and sheetfed offset presses provide tailor-made solutions for publishing, commercial, and packaging printing &amp;ndash; from brochures to newspapers with circulations running into the millions. A worldwide network of about 100 sales and service centers markets manroland&amp;rsquo;s own products and inkjet-based digital printing solutions from Oc&amp;eacute; as well as process compliant system components and pressroom products.
manroland is designing, planning, building, equipping, and commissioning sheetfed and web offset printing plants &amp;ndash; from prepress through printing right up to finishing. The PRINTVALUE service portfolio offers added value with its four brands: manroland is a provider of customized 24/7 service and maintenance packages plus integrated services and training measures (printservices). The portfolio includes a certified range of pressroom products (printcom) as well as software products and workflow management systems (printnet). The company provides consultancy services covering all aspects of investment and building planning, organization, management, systems engineering and process optimization (printadvice).

Promoting generic best practice for web offset printing
The Web Offset Champion Group was formed in 1998 to &amp;ldquo;champion&amp;rdquo; best practice in the web offset printing industry as a tool to improve productivity, quality and safety. The Group is a joint project of international suppliers working with other industry specialists, printers and associations throughout the world to publish best practice guides. Printing Industries of America is a content contributor and is also exclusive distributor in North America.
Focus on total production process
The group&amp;rsquo;s objective is to improve web offset productivity. This requires a cross-industry and cross-process approach because no single company can provide answers to all the variables of the press line and its consumables. Best practices are a tool to improve overall performance without making any capital investment. The potential returns are extremely high as each guide identifies ways to reduce processing costs, improve quality and reduce accidents.
Generic easy-to-read content
All web offset printers &amp;mdash; irrespective of the brands of equipment or consumables that they use &amp;mdash; can apply the generic content of guides. They provide printers with a base reference to best practice and effectively help transfer knowledge in a global industry.
Guides are written in a concise, easy-to-read style accompanied by numerous graphics and are intended to be read at all levels from managers to production employees. They explain how to work more efficiently, prevent errors, improve diagnostic procedures and help introduce new methods, standards and benchmarks.
World-wide review panel
Each guide is reviewed by a world-wide panel of industry specialists, printers, other suppliers and associations to improve their content and to ensure that they represent industry best practice.
Organisation
The Group is a non-profit organisation that is funded by sponsorship from its company members. Best practice information is contributed free-of-charge by members, other companies, individuals and associations.
WOCG is based in the Welsh Centre for Printing and Coating, Swansea University. The joint managing directors of WOC Ltd are Dr. Tim Claypole and Nigel Wells.

 Lin Chao, Deputy Factory Director at Jiangsu Post Printing Factory in Changzhou City, is glad about its growing ROLAND 700 HiPrint family. | © Jiangsu Post Printing Factory.

 ROLAND 700 HiPrint continues to be much sought-after in China

 At the end of 2011 the strong Chinese printing market lived up to its reputation with printing companies busily ordering printing systems from manroland. In 2011 China once again proved to be by far manroland&amp;rsquo;s largest single sheetfed offset market ahead of Germany and Brazil. The trend towards high-end presses and Value Added Printing thus continues in China.
In China manroland has a tradition for being a markedly strong brand and customers&amp;rsquo; trust in the Offenbach sheetfed printing presses continues to be very high. Now, just before the Chinese New Year on 23 January 2012, the level of investments reaches a peak. This is proved by three large orders summing up to an amount within the lower double-digit millions euro range. It is the ROLAND 700 HiPrint, often with a coating unit, that has been ordered especially frequently for years. Moreover manroland&amp;rsquo;s large-format presses are coveted in China.
With ROLAND 700 on the way to the leading printing companyJiangsu  Post Printing Factory in Changzhou City, a town in the West of China,  has relied on manroland for 15 years. That&amp;rsquo;s why for the expansion of  the machinery park another manroland press was the obvious choice &amp;ndash; this  time a four color ROLAND 700 HiPrint. &amp;ldquo;The more advanced a press is,  the easier it is to operate, and manroland presses are very  operator-friendly,&amp;rdquo; says Lin Chao, Deputy Factory Director of Jiangsu  Post Printing Factory. &amp;ldquo;I was chief printer for five years and we had  hardly any problems.&amp;rdquo; With the new four color ROLAND 700, the company  now has three ROLAND 700 presses to ensure they can continue delivering  printed products of the highest quality. Jiangsu Post Printing Factory, a  member of Jiangsu Post, focuses on providing postal printing service.  It started business around 30 years ago with a few old-fashioned manual  presses. Lin Chao recalls: &amp;ldquo;When we installed our first manroland press,  many printing companies from other cities came to visit us.&amp;rdquo; This first  ROLAND 700 gave the company the opportunity to considerably expand its  business and prosper. Now Jiangsu Post Printing Factory belongs to the  best postal printing companies in China and the quality of its printed  products has led to many national awards.&amp;nbsp;
From one production record to the nextWhile maintaining consistently high printing quality, output has continually increased. For example, only a few years ago, the company was printing a double-digit million number of New Year cards. Today it is 100 million. According to Lin Chao, over the last three years the company has set new production records and enjoys an annual growth of 20 percent. In addition, there were licensing agreements in connection with the 2008 Olympic Games and the world fair Expo 2010 in Shanghai. The ROLAND 700 HiPrint is one of the world&amp;rsquo;s best high-end sheetfed offset presses. The new press at Jiangsu Post Printing Factory is equipped with the automatic plate changing system PowerPlateLoading (PPL) and QuickChange functions to reduce and optimize make-ready times. For example, thanks to QuickChange Surface a 50 percent time saving can be reached when cleaning the ink fountain. All this means best preconditions for Jiangsu Post Printing Factory to strengthen its position among the top addresses of Chinese printing companies.

 Insolvency administrator Werner Schneider currently involved in many negotiations

 The prospects of a successful investors&#039; agreement for the insolvent manroland AG have improved further. Auditor Werner Schneider of the law firm of Schneider, Geiwitz &amp;amp; Partner has conducted numerous negotiations with interested parties in the&amp;nbsp; past few days. &amp;quot;We now have parties seriously interested in all three production sites in Augsburg, Offenbach and Plauen, with whom we are involved in ongoing negotiations,&amp;quot; Schneider said, elaborating on the current status.
The ultimate aim continues to be the selling of key company segments by the end of the current insolvency proceedings on January 31, 2012 in order to ensure continued operations and to save as many jobs as possible. Given the promising interest of potential buyers, this remains a feasible aim. &amp;quot;However, nothing has been signed yet,&amp;quot; Schneider added. Within this context he also thanked the representatives of the works council for their excellent cooperation and their constructive collaboration towards a quick selling solution.
Manufacturing at the German sites is continuing without any restrictions. Two large 96 DIN A4 pages LITHOMAN printing presses recently took up operation and a further press of this kind will be delivered within a few days. The sheetfed business sector will deliver 29 presses by the end of January. Based on the current order situation, production will continue beyond January 31, 2012.
Intensive negotiations by both the insolvency administrator and manroland AG management prevented the cancellation of orders so far. All commitments are currently being met and the operative business is continuing smoothly thanks to interim financing. Similarly, the service business for existing customers has not been affected.

 Schneider, Geiwitz &amp;amp; Partners offers you a unique wide range of competence and experience under one roof. Get to know a strong partner for the great diversity of your corporate matters, whose business culture is in line with your own requirements.
For this purpose, we have around 200 committed and competent employees, including 10 certified public accountants, 18 tax consultants and 38 attorneys-at-law, who develop solutions and implement these responsibly with a focus on the future.
For at Schneider, Geiwitz &amp;amp; Partner we assign to you assistants, who are committed to goal-orientation, reliability and best possible cost / benefits ratio for you as client. Welcome to Schneider, Geiwitz &amp;amp; Partner!

 For the insolvent manroland AG the provisional insolvency administrator Werner Schneider with his team has secured an agreement for a so-called “Massekredit” (similar to debtor-in-possession financing).

 Continuation of business operations secured

 For the insolvent manroland AG the provisional insolvency  administrator Werner Schneider has secured an agreement for a so-called  &amp;ldquo;Massekredit&amp;rdquo; (similar to debtor-in-possession financing). &amp;ldquo;Continuation  of production and business operations at manroland is therefore  secured,&amp;rdquo; said Werner Schneider, a financial auditor. &amp;ldquo;The company can  continue to do business with customers and suppliers and we are sending a  very positive signal to the market.&amp;rdquo;
Schneider is delighted that the financing agreement was reached within only a few days. &amp;ldquo;Immediate action was essential as an interruption of production does harm the company and makes the desired sales process more difficult,&amp;rdquo; said Schneider.
The mass credit has a volume of Euro 55 million, thereof Euro 10 million in form of a cash drawing facility. A further Euro 45 million are a so-called &amp;ldquo;partial&amp;rdquo; mass credit in which the lending banks release part of the forgone loans. The release ensures the required liquidity without the banks having to provide new debt.
The financing secures fulfillment of liabilities with customers and suppliers that have placed or received orders with manroland after the company has filed for insolvency. Liabilities originated before the filing will be dealt with as part of the insolvency proceedings later in the process.

 manroland AG is one of the leading printing systems manufacturer and the world&amp;rsquo;s market leader in web offset.

Evgeny Margolin, Novosti Poligrafii Magazine, &amp;quot;To my regret, I only managed to stay for the first two speeches, those of John Dangelmaier and Michael Nitsche. Both speeches were interesting in terms of the approaches to the issues discussed that are typical of the environment. In particular, the point is in the sustainable constituent part of polygraphic production, which has yet to become a topical issue for most manufacturers as well as consumers of printed products&amp;quot;.
Ludmila Zagumennova, Chekhov Polygraphic Factory, &amp;quot;Thank you very much for the seminar, which was held at a high professional level. The participants presented a great deal of scientific and practical information of current interest&amp;quot;.

 manroland AG today filed a petition to initiate insolvency proceedings with the jurisdictional district court at Augsburg.

Key units to be restructured as debtor in possession
Lawyer Dr Frank Kebekus appointed as general representative for the restructuring
Financial Auditor and Tax Consultant Werner Schneider appointed as provisional insolvency administrator

manroland AG today filed a petition to initiate insolvency proceedings with the jurisdictional district court at Augsburg, after the negotiations with a potential investor have failed on the home stretch. At the same time the company has filed a request for self-administration in order to finalize the on-going restructuring efforts. The provisional insolvency administrator Werner Schneider will in due course examine the situation at manroland, in order to obtain a comprehensive picture of the situation.
The executive board of manroland aims to rescue key units within the framework of ongoing restructuring efforts as debtor in possession. The initiated insolvency procedure affords the opportunity to step up the restructuring process and guide the company through this difficult phase. Despite all the disappointment over the path that now has to be taken, the insolvency procedure as debtor in possession offers plenty of prospects because the company has compelling products, the necessary know-how, and an excellent team. With the planned entry of a potential investor and on a basis of a financing program coordinated with the previous shareholders and banks the company&amp;rsquo;s equity base would have been strengthened.
The decision to file for insolvency was triggered by another dramatic downturn in incoming orders which can be noticed since mid-July and has recently accelerated. Although there is still great interest in manroland&amp;rsquo;s printing systems, customers are finding it far more difficult to obtain financing in the aftermath of the financial crisis. At the same time, intensive competition in the face of declining orders has led to even greater pressure on prices and therefore to declining contribution margins. The market size is now only at 50 percent of the level before the beginning of the crisis in 2008. After showing initial signs of recovery from the beginning of the fiscal year and well into the summer, the market took another downturn, particularly in the USA and Western Europe, and in the segment for sheet-fed presses. The same goes for activities in China, although business there remains brisk. This downturn had an impact on the entire industry, the force of which was not foreseeable. The general representative and the provisional insolvency administrator are now going to promptly review the possibilities for a restructuring. Currently, the business activities of manroland continue to run as normal. manroland employs 6,500 people, thereof 5,000 in Germany.
